Corporate Governance Officer /
Corporate Secretary
The Corporate Governance Officer supports the Governance Officer (Manager) in the delivery of Company Secretarial and Domiciliation Support Services to clients of ONE.

- You hold a Bachelor’s degree (or higher/equivalent), have experience relevant to this role (between 1 to 5 years) and in supporting a variety of alternative and/or UCITS fund structures and like to keep up-to-date with the latest trends in governance practice. You have a great command of English and knowledge of other languages would be a plus.
Your Responsibilities and Duties
Leadership Responsibilities (if your seniority allows it):
- Support the mentoring of junior members of the team of corporate secretaries and dedicated minute takers to deliver top-tier, responsive and quality focused company secretarial services commensurate with ONE’s corporate culture and product offering.
- Assist the Governance Officer (Manager) to manage a portfolio of boards and clients as the lead relationship manager, responsible for overseeing the delivery of services.
- Assist with tracking events for invoicing purposes and assist with the invoicing process through to collection of fees.
- Assist with the client on-boarding and review process.
Operational Responsibilities:
- Support and deliver Company Secretarial and Domiciliation Support Services in a team environment on a timely basis consistent with client commitments/SLAs.
- Core responsibilities include:
- Acting as a key point of contact with clients, boards, administrators, regulators, counsel and other third parties.
- Support clients and boards with best corporate governance practice.
- Organise and attend Board, Shareholder and Committee meetings for a varied portfolio of clients.
- Take and/or review meeting minutes and resolutions.
- Facilitate and project manage transactions.
- Travel to board meetings (within Luxembourg).
- Support company incorporations.
- Prepare and submit filings with the regulator and Luxembourg Business Registers.
- Maintain corporate records and statutory registers.
