Job Description:

1 Overview

1.1 ONE corporate (“ONE”) is a dynamic and young business focused on delivering quality, value-add, next-gen company secretarial and corporate governance support to a wide variety of clients. We are looking for a governance specialist to manage a portfolio of clients and lead a team responsible for delivering ONE’s core services. This is an exciting opportunity for an experienced, passionate, and career driven governance specialist to work in a flexible and energetic culture focused on delivering premium company secretarial support services.

1.2 This is an exciting opportunity to be one of the first members of our team as we expand our operations into Ireland. The successful candidate will be strategically involved in building and developing our business and client service model.

2 Your Role

2.1 Title: Company Secretary

2.2 Reports To: Function Head

2.3 Function: The Company Secretary / Governance Officer (Senior) will support the team responsible for the delivery of Company Secretarial and Registered Office Services to clients of ONE in Ireland and Luxembourg and will act as a senior client contact.

3.4 You hold a Bachelor’s degree (or higher/equivalent), have experience relevant to this role (typically at least 4 years) and in supporting a variety of fund structures and like to keep up to date with the latest trends in governance practice. You either hold or are studying towards related Company Secretarial / Corporate Governance qualification (i.e. the Chartered Governance Institute UK & Ireland) or would be keen to study one with our financial support.

5 Your Responsibilities and Duties

5.1 Leadership Responsibilities:

5.1.1 Support and mentor a team of corporate secretaries and dedicated minute takers to deliver top-tier, responsive and quality focused company secretarial services commensurate with ONE’s corporate culture and product offering.

5.1.2 Manage a portfolio of boards and clients as lead client point of contact, responsible for the delivery of services.

5.1.3 Track events for invoicing purposes and manage the invoicing process through to collection of fees.

5.1.4 Lead the client on-boarding and review process.

5.1.5 Assist with the development of ONE’s culture, product offering and corporate governance. Critically review processes and look for opportunities for improvement (especially standardisation, automation, reducing risk) consistent with the company’s ethos.

5.2 Operational Responsibilities:

5.2.1 Oversee and deliver Company Secretarial and Domiciliation Support Services in a team environment on a timely basis consistent with client commitments/SLAs.

5.3 Core responsibilities include:

  • Acting as a key point of contact with clients, boards, administrators, regulators, counsel and other third parties.
  • Support clients and boards with best corporate governance practice.
  • Organise and attend Board, Shareholder and Committee meetings for a varied portfolio of clients.
  • Take and/or review meeting minutes and resolutions.
  • Facilitate and project manage transactions.
  • Travel to board meetings.
  • Support company incorporations.
  • Prepare and submit filings with the regulator and CRO.
  • Maintain corporate records and statutory registers
  • Presenting a professional image in line with our company culture: enthusiastic, upbeat, and engaging.
