Job Offer - Governance Specialist (experienced)

Governance Specialist (experienced) - to manage a portfolio of clients within a team responsible for delivering ONE’s core services.

Your Role:

• Deliver Company Secretarial and Domiciliation Support Services to clients of ONE.

• You hold a Bachelor’s degree (or higher/equivalent), have experience relevant to this role and in supporting a variety of alternative and/or UCITS fund structures and like to keep up-to-date with the latest trends in governance practice. You either hold a related Company Secretarial / Corporate Governance qualification or would be keen to study one with our financial support. You have a great command of English and know that any other languages would be a plus.

Your Responsibilities and Duties:

Leadership Responsibilities:

• Deliver top-tier, responsive and quality focused company secretarial services commensurate with ONE’s corporate culture and product offering.
• Manage a portfolio of boards and clients as the lead relationship manager, responsible for overseeing the delivery of services.
• Track events for invoicing purposes and assist with the invoicing process through to collection of fees.
• Lead the client on-boarding and review process.
• Assist with the development of ONE’s culture, product offering and corporate governance. Critically review processes and look for opportunities for improvement (especially standardisation, automation, reducing risk) consistent with the company’s ethos.

Operational Responsibilities:

• Oversee and deliver Company Secretarial and Domiciliation Support Services in a team environment on a timely basis consistent with client commitments/SLAs

Core responsibilities include:

• Acting as a key point of contact with clients, boards, administrators, regulators, counsel and other third parties.
• Support clients and boards with best corporate governance practice.
• Organise and attend Board, Shareholder and Committee meetings for a varied portfolio of clients.
• Take and/or review meeting minutes and resolutions.
• Facilitate and project manage transactions.
• Travel to board meetings (within Luxembourg).
• Support company incorporations.
• Prepare and submit filings with the regulator and Luxembourg Business Registers.
• Maintain corporate records and statutory registers.
